Keeping in mind the trends that arose in 2018,  Practical Law has set out a number of steps that a company, and in particular its board, can take to best prepare for their 2019 AGM. <\/h4>\n\n\n\n<p>This article outlines the trends that arose in the 2018 AGM season and sets out some key steps that a company can take to prepare for its AGM, drawing from Practical Law resources.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">What were the AGM trends in 2018 and will this continue in 2019?<\/h2>\n\n\n\n<p>The trends that arose in the 2018 AGM season look set to\ncontinue in the 2019 AGM season. The <a href=\"https:\/\/anzlaw.thomsonreuters.com\/w-007-4449\">Australian Securities and\nInvestments Commission (ASIC)<\/a> reported that the key themes of the\n2018 AGM season were:<\/p>\n\n\n\n<ul class=\"wp-block-list\"><li>An emerging theme of accountability from boards.<\/li><li>Increased strikes on remuneration reports by\nshareholders.<\/li><li>A focus on environmental, social and governance\n(ESG) issues, with climate change risk and sustainability emerging as the most\nfrequently raised ESG issues.<\/li><li>An overall improvement in gender diversity.<\/li><\/ul>\n\n\n\n<p><em>See <a href=\"https:\/\/asic.gov.au\/regulatory-resources\/find-a-document\/reports\/rep-609-annual-general-meeting-season-2018\/\">ASIC\nReport 609: Annual general meeting season 2018 (ASIC Report 609)<\/a>.<\/em><\/p>\n\n\n\n<p>While ASIC\u2019s findings from the 2018 AGM season related only to <a href=\"https:\/\/anzlaw.thomsonreuters.com\/w-012-0341\">ASX200<\/a> companies, the lessons to be learned and steps that can be taken to prepare for the 2019 AGM season will be of use to all companies holding an AGM in 2019. <\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Ensure the company\u2019s annual report is complete and accurate<\/h2>\n\n\n\n<p>Companies are required to complete their financial reports within three months of the end of financial year. This means that, for entities with a 30 June end of financial year, reports must be lodged by the end of September. Entities listed on the <a href=\"https:\/\/anzlaw.thomsonreuters.com\/w-004-1879\">Australian Securities Exchange (ASX)<\/a> must also include an operating and financial review (OFR). Importantly, companies should ensure that their OFR discloses key risks, including environmental and other sustainability risks (including climate risk). <a href=\"https:\/\/asic.gov.au\/regulatory-resources\/find-a-document\/regulatory-guides\/rg-247-effective-disclosure-in-an-operating-and-financial-review\/\">ASIC Regulatory Guide 247: Effective disclosure in an operating and financial review<\/a> sets out ASIC\u2019s expectations in respect of a company\u2019s OFR.<\/p>\n\n\n\n<p><strong>RELATED:<\/strong> <a href=\"http:\/\/insight.thomsonreuters.com.au\/resources\/resource\/guide-to-the-new-asx-corporate-governance-principles-and-recommendations-what-has-changed\">Guide to the New ASX Corporate Governance Principles and Recommendations. What has Changed?<\/a><\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Release the notice of AGM to the market as soon as possible<\/h2>\n\n\n\n<p>Companies should release their notice of meeting (NOM) as\nsoon as possible. This means that the company will be in a better position to:<\/p>\n\n\n\n<ul class=\"wp-block-list\"><li>Prepare shareholder communications.<\/li><li>Respond to any requisitioned resolutions more\neffectively.<\/li><li>Engage with proxy advisers at an earlier stage\nto seek to clarify information in the proxy adviser\u2019s report to shareholders.<\/li><\/ul>\n\n\n\n<p>Listed companies must hold their AGMs within five months of\ntheir financial year end. Draft NOMs that contain resolutions for <a href=\"https:\/\/anzlaw.thomsonreuters.com\/w-005-7365\">Listing\nRules<\/a> purposes must be submitted to the ASX for review before they\nare sent to security holders (<a href=\"https:\/\/www.asx.com.au\/documents\/rules\/Chapter15.pdf\">Listing Rule 15.1.7<\/a>).\nThe ASX may take five business days to advise whether it objects to a draft\ndocument and may extend that deadline if it needs further time to review the\ndocument (<a href=\"https:\/\/www.asx.com.au\/documents\/rules\/Chapter15.pdf\">Listing Rule 15.1<\/a>).\nListed entities should keep in mind these timing requirements and allow\nsufficient time to submit their draft NOMs.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Review the share register<\/h2>\n\n\n\n<p>Boards should monitor and analyse the share register,\npreferably well in advance of the AGM. This may help to determine whether any\nof the company\u2019s shareholders are known for particular views or action and\ntherefore more likely to engage in shareholder activism. For this reason,\nboards should also:<\/p>\n\n\n\n<ul class=\"wp-block-list\"><li>Monitor the share register for any unusual\nactivity before an AGM or for signs of possible collective action or <a href=\"https:\/\/anzlaw.thomsonreuters.com\/w-006-3883\">associations<\/a>.<\/li><li>If necessary, issue tracing notices to identify\nwho sits behind non-beneficial owners (see <a href=\"https:\/\/asic.gov.au\/regulatory-resources\/find-a-document\/regulatory-guides\/rg-86-tracing-beneficial-ownership\/\">ASIC\nRegulatory Guide 86: Tracing beneficial ownership<\/a>).<\/li><\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">Engage early with proxy advisers<\/h2>\n\n\n\n<p>Once the NOM is released, companies can then engage with\nproxy advisers who are responsible for providing reports to shareholders\n(typically, <a href=\"https:\/\/anzlaw.thomsonreuters.com\/w-001-4810\">institutional investors<\/a>)\nthat contain the proxy adviser\u2019s voting recommendation for each resolution to\nbe considered at the AGM. Engaging early with proxy advisers allows the company\nto:<\/p>\n\n\n\n<ul class=\"wp-block-list\"><li>Ascertain whether proxy advisers will recommend\nthat shareholders vote \u201cagainst\u201d items at the AGM and get on the front foot\nwith communication to shareholders.<\/li><li>Best ensure that the report ultimately presented\nto shareholders presents a balanced view where the company and the proxy\nadviser reach different conclusions relating to certain resolutions or issues\nthat will be considered at the company\u2019s AGM. ASIC\u2019s view is that companies\nshould engage early with proxy advisers to maximise the quality of information\nprovided to shareholders in proxy adviser reports (see <a href=\"https:\/\/asic.gov.au\/regulatory-resources\/find-a-document\/reports\/rep-578-asic-review-of-proxy-adviser-engagement-practices\/\">ASIC\nReport 578: ASIC review of proxy adviser engagement practices: June 2018<\/a>).<\/li><\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">Engage early with institutional investors<\/h2>\n\n\n\n<p>There is increasing pressure on institutional investors\n(particularly superannuation funds) to take a more active role in their\ninvestments. Accordingly, in recent years institutional investors and companies\nhave increased their engagement in corporate governance matters. Institutional\ninvestors can be critical to the success or failure of a resolution. Engaging early\nwith institutional investors allows the company to gauge:<\/p>\n\n\n\n<ul class=\"wp-block-list\"><li>Sentiment towards key items to be considered at\nthe AGM, including the remuneration report.<\/li><li>Whether the company\u2019s institutional investors\nintend to follow the advice of proxy advisers, in particular where the proxy\nadvisers recommend that shareholders vote \u201cagainst\u201d a resolution to be\nconsidered at the AGM.<\/li><\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">Prepare to respond to shareholder requisitioned resolutions<\/h2>\n\n\n\n<p>In 2018, shareholders of seven <a href=\"https:\/\/anzlaw.thomsonreuters.com\/w-012-0341\">ASX200<\/a> companies\nrequisitioned climate change or human rights related resolutions at the\ncompany\u2019s AGM. There was also generally increasing shareholder support for\nresolutions on ESG issues.<\/p>\n\n\n\n<p>The resolutions were:<\/p>\n\n\n\n<ul class=\"wp-block-list\"><li>For the most part advisory and required a first\nresolution to be passed to change the company\u2019s constitution to permit advisory\nresolutions.<\/li><li>Usually coordinated by non-government\norganisations such as Market Forces (a climate change activist organisation,\naffiliated with Friends of the Earth) or the Australasian Centre for Corporate\nResponsibility (ACCR) (a not-for-profit association promoting responsible\nbusiness and ethical investment, particularly through shareholder advocacy).<\/li><\/ul>\n\n\n\n<p>With this trend likely to continue in the 2019 AGM season,\ncompanies should:<\/p>\n\n\n\n<ul class=\"wp-block-list\"><li>Ensure that, where appropriate, the company\u2019s\noperating and financial review and directors\u2019 report makes appropriate\ndisclosures relating to ESG issues.<\/li><li>Engage with key institutional investors to\ndetermine whether they intend to requisition resolutions and, if so, the\nsubstance of those resolutions.<\/li><li>Prepare announcements responding to any\nresolutions requisitioned under section 249N of the <em>Corporations Act 2001<\/em> (Cth). A company that has received a notice\nof intended resolution under section 249N must, under the <a href=\"https:\/\/anzlaw.thomsonreuters.com\/w-005-7365\">Listing\nRules<\/a>, make an announcement within two business days of its receipt.<\/li><li>Prepare appropriate responses to any resolutions\nrequisitioned at the AGM. <\/li><li>Consider putting forward their own resolutions\nrelating to ESG issues.<\/li><\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">Pay attention to gender diversity on the company\u2019s board<\/h2>\n\n\n\n<p>While gender diversity among the boards of <a href=\"https:\/\/anzlaw.thomsonreuters.com\/w-012-0341\">ASX200<\/a>\ncompanies improved overall in 2018, shareholder groups, in particular the\nAustralian Council of Superannuation Investors (ACSI), are continuing to push\nfor increased gender diversity on boards. In June 2019, ACSI reported that\nwhile the ASX200 had reached the 30% target for women on boards set in 2015, it\nwill continue advocating for increased gender diversity on boards until a\nreasonable balance has been achieved. Until then, ACSI has stated that it will\napply its voting policy to recommend that its members vote against the election\nof directors on boards with poor gender diversity (see <a href=\"https:\/\/www.acsi.org.au\/images\/stories\/ACSIDocuments\/MediaReleases\/ASX200-reaches-30-per-cent-women-directors-FOR-IMMEDIATE-RELEASE-June-2019.pdf\">ACSI\nmedia release 13 June 2019<\/a>).<\/p>\n\n\n\n<p>With this in mind, companies whose boards lack diversity should carefully consider the directors being put forward for election or re-election and, where possible, ensure gender diversity on their board to avoid \u201cagainst\u201d votes on director election resolutions and, potentially, requisitioned resolutions calling for the appointment of new directors.<\/p>\n\n\n\n<p><strong>RELATED:<\/strong> <a href=\"http:\/\/insight.thomsonreuters.com.au\/resources\/resource\/change-makers-podcast-episode-1-gender-diversity-in-legal-leadership\">Change Makers Podcast Episode 1: Elevating Gender Diversity in Legal Leadership<\/a><\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Prepare for a board spill<\/h2>\n\n\n\n<p>In 2018 there was a significant increase in the number of\nfirst strikes on the remuneration report, from five in 2017 to 12 in 2018,\naccompanied by an upsurge in the magnitude of \u201cagainst\u201d votes (see <a href=\"https:\/\/asic.gov.au\/regulatory-resources\/find-a-document\/reports\/rep-609-annual-general-meeting-season-2018\/\">ASIC\nReport 609<\/a>).<\/p>\n\n\n\n<p>Under the \u201c<a href=\"https:\/\/anzlaw.thomsonreuters.com\/w-019-0660\">two-strikes rule<\/a>\u201d,\na company that received a \u201cfirst strike\u201d against its remuneration report in\n2018 may face a spill resolution if it receives a \u201csecond strike\u201d in 2019.\nActivist shareholders may also attempt to spill the board by voting against the\ncompany\u2019s remuneration report.<\/p>\n\n\n\n<p>Companies that received a first strike in 2018 should\nprepare to respond to a potential spill resolution in 2019 by:<\/p>\n\n\n\n<ul class=\"wp-block-list\"><li>Engaging with key shareholders, including\ninstitutional investors, and proxy advisers to discuss its proposed response to\nthe first strike.<\/li><li>Ensuring that the materials for the AGM refer to\nthe possibility of voting on a spill resolution at the same AGM.<\/li><li>Understanding the impact of relevant voting\nrestrictions on key management personnel and their closely related parties.<\/li><li>Considering using a <a href=\"https:\/\/anzlaw.thomsonreuters.com\/w-005-9142\">poll<\/a> to count\nvotes at the second AGM rather than a show of hands (especially if the company\nknows proxies are going to give a different result from a show of hands in the\nroom).<\/li><li>Having a draft announcement to the market\nprepared in case the spill does happen.<\/li><\/ul>\n\n\n\n<p>Engaging early with proxy advisers and institutional\ninvestors can also help a company to gauge whether there may be a board spill.<\/p>\n\n\n\n<p><em>Practical Law subscribers can access more information on both preparing for an AGM and preparing for and responding to shareholder activism, requisitioned resolutions and board spills in the following practice notes and checklists on Practical Law Australia:<\/em><\/p>\n\n\n\n<ul class=\"wp-block-list\"><li><em>Practice note, Notices of general meeting.<\/em><\/li><li><em>Practice note, General meetings.<\/em><\/li><li><em>Practice note, Shareholder activism.<\/em><\/li><li><em>Practice note, Climate change and shareholder activism.<\/em><\/li><li><em>Checklist, Environmental, social and governance risks: disclosure requirements.<\/em><\/li><li><em>Checklist, Key strategies for preparing for shareholder activism.<\/em><\/li><li><em>Checklist, Key strategies for responding to an approach by activist shareholders.<\/em><\/li><li><em>Checklist, Examples of shareholder-requisitioned climate change resolutions affecting ASX 200 listed entities in 2017.<\/em><\/li><li><em>Checklist, Examples of shareholder-requisitioned climate change resolutions affecting ASX 200 listed entities in 2018.<\/em><\/li><\/ul>\n\n\n\n<p><strong>Not a subscriber of the Thomson Reuters legal guidance solution?
